      Tri-Tech Holding To Hold Annual Meeting of Shareholders on November 30, 2011



      Beijing, China – November 4, 2011–Tri-Tech Holding Inc. (Nasdaq: TRIT) (the “Company”), a premier Chinese company that provides leading turn-key solutions in China for the water resources, water and wastewater treatment, industrial safety and pollution control markets, announced today that its 2011 Annual Meeting of Shareholders will be held on November 30, 2011, at 9:00 a.m. Beijing Time (8:00 p.m. EDT, Tuesday, November 29, 2011) at our executive offices at 16th Floor of Tower B, Renji Plaza No. 101, Jingshun Road, Chaoyang District, Beijing, People’s Republic of China 100102.  Shareholders may also attend the meeting via webcast and conference call.       At the meeting, the following proposals will be submitted for shareholder approval, as fully described in the proxy statement filed with the Securities and Exchange Commission and distributed to shareholders on November 4, 2011.

      1. Election of the successor of one Class I member and three Class II members of the Board of Directors of the Company;

      2. Ratification of the appointment of Marcum Bernstein & Pinchuk LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2011; and

      3. Approval of the Company’s 2011 Share Incentive Plan.
